New Volunteer Expectations and Guidelines

To ensure our volunteer programs and positions are sustainable and effective, we have created some expectations and guidelines:


1) All files, phone calls, and/or personal information you see or hear while volunteering with the Utah Pride Center should be considered confidential and therefore cannot be shared outside the Utah Pride Center.


2) Volunteers are expected to treat visitors, clients, and community members equally and respectfully. Professionalism and customer service are critical for all volunteers.


3) Do not give advice or counsel any client, community member, or visitor. If they need counseling, please refer them to the Pride Center’s online resources or a staff member. If you are unsure of the appropriateness of a conversation, do not hesitate to contact a staff member.


4) Volunteers are prohibited from making romantic advances toward clients, visitors, or community members while representing the Utah Pride Center.


5) All volunteers must log their volunteer hours. Accurate reporting is important for record keeping and funding.


6) All volunteers must adhere to their shift schedules. If a volunteer is unable to fulfill their time commitments, they must notify the Volunteer Coordinator, their Program Chair, or the volunteers’ direct supervisor at least 24 hours in advance.


7) All volunteers are responsible to stay up to date with all Utah Pride Center policies and guidelines. Pride Center staff will also update volunteers in the event of a policy or guideline change.


8) If any issues arise with the Utah Pride Center’s staff, policies, practices, or other volunteers, all volunteers are required to address issues directly with their department supervisor or other members of the Utah Pride Center’s leadership. Failure to directly include the Utah Pride Center when addressing issues, concerns, or other forms of conflict may result in removal from some or all volunteer opportunities.


-- Release of Liability Agreement --

In exchange for participation in Utah Pride Center activities, and/or use of the property, and facilities ofUtah Pride Center:


1) I agree to observe and obey all posted rules and warnings, and further agree to follow any oral instructions or directions given by the employees, representatives, or agents of Utah Pride Center.


2) I recognize that there are certain inherent risks associated with volunteer activities with Utah Pride Center and I assume full responsibility for personal injury to myself and (if applicable) my family members, and further release and discharge Utah Pride Center for injury, loss or damage arising out of my or my family's use of or presence upon the facilities of Utah Pride Center, whether caused by the fault of myself, my family, Utah Pride Center or other third parties.


3) I agree to indemnify and defend Utah Pride Center against all claims, causes of action, damages, judgments, costs or expenses, including attorney fees and other litigation costs, which may in any way arise from my or my family's use of or presence upon the facilities of Utah Pride Center.


4) I agree to pay for all damages to the facilities of Utah Pride Center caused by my or my family's negligent, reckless, or willful actions.


5) Any legal or equitable claim that may arise from participation in the above shall be resolved under Utah law.


6) I agree and acknowledge that I am under no pressure or duress to sign this Agreement and that I have been given a reasonable opportunity to review it before signing. I further agree and acknowledge that I am free to have my own legal counsel review this Agreement if I so desire. I further agree and acknowledge that Utah Pride Center has offered to refund any fees I have paid to use its facilities if I choose not to sign this Agreement.


7) This Agreement and each of its terms are the product of an arms' length negotiation between the Parties. In the event any ambiguity is found to exist in the interpretation of this Agreement, or any of its provisions, the Parties, and each of them, explicitly reject the application of any legal or equitable rule of interpretation which would lead to a construction either "for" or "against" a particular party based upon their status as the drafter of a specific term, language, or provision giving rise to such ambiguity.


8) The invalidity or unenforceability of any provision of this Agreement, whether standing alone or as applied to a particular occurrence or circumstance, shall not affect the validity or enforceability of any other provision of this Agreement or of any other applications of such provision, as the case may be, and such invalid or unenforceable provision shall be deemed not to be a part of this Agreement.


9) Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.



-- Property and Privacy Policy --

The Purpose of this policy is to ensure that all property maintained by Utah Pride Center is kept in the best possible working condition and to ensure proper use of such property and Utah Pride Center networks.


“Property,” as the term is used in this policy, is defined as any piece of equipment, furnishing, vehicle, building, or supply leased, owned, donated to, or otherwise in the custodial care of Utah Pride Center or any person acting as its agent.


No Utah Pride Center volunteer should expect any privacy on Utah Pride Center premises or when using Utah Pride Center property or networks, except that which is required by law.



-- General Guidelines on the Use of Company Property --

All Utah Pride Center volunteers must maintain their work environment in an orderly fashion and follow Utah Pride Center rules to ensure its proper use and maintenance. Utah Pride Center Property, (computers, printers, phones, supplies, etc.) are for business use.


Any volunteer who is found to have neglected or misused Utah Pride Center property will be subject to disciplinary action up to and including termination. If a volunteer’s misuse of Utah Pride Center property damages the property, Utah Pride Center reserves the right to require the volunteer to pay all or part of the cost to repair or replace the property.


Misappropriation of Utah Pride Center property is grounds for immediate termination and possible criminal action.



-- Use and Dissemination of Company Information --

“Information,” as the term is used in this policy, includes without limitation any information owned or used by Utah Pride Center such as:


• Any company employee, customer, or client list

• Any company database information, including addresses and telephone numbers

• Any information from Utah Pride Center employee personnel files, including employee addresses, telephone numbers, employment status, and wage history

• Any photographs, videotapes, and sound clips of any Utah Pride Center employee, customer, or client


Only those employees who are authorized by Utah Pride Center’s Board of Directors or Executive Team, or whose job description permits them to do so, may speak on behalf of Utah Pride Center. Notwithstanding the foregoing, specific permission from the Utah Pride Center’s Board of Directors or Executive Team will be required before any Utah Pride Center employee or volunteer may disseminate confidential Utah Pride Center Information.


No employee or volunteer may knowingly dispense such information to any outside party unless authorization has been granted. This could include other employees who do not have the right to know such information. Any breach will be considered a violation of Utah Pride Center policy concerning confidentiality, and it may constitute a violation of state or federal law.


-- Monitoring of Network Communications --

Utah Pride Center reserves the right to monitor at any time any communications that use the Utah Pride Center networks in any way, including data, voicemail, telephone logs, internet use, and network traffic to determine proper use.


Utah Pride Center will review network communications activity and will analyze use patterns. Utah Pride Center may choose to publish these data to ensure that company resources in these areas are being used according to this policy. No employee or volunteer may knowingly disable any network software or system identified as a monitoring tool.


-- Electronic Media Policy --

Examples of Inappropriate Uses of Technology


• Any use violating law or government regulation

• Any Unauthorized access to computer systems, networks, or web sites

• Viewing, copying, or transmitting material with sexual or profane content

• Transmitting harassing or soliciting messages

• Transmitting unsolicited advertising

• Downloading information or data that is not related to the Utah Pride Center’s business

• Downloading any application programs without express permission

• Any use for personal financial gain, in a manner creating a potential conflict of interest for the volunteer or Utah Pride Center

• Use of subscription-based services or participating in web-based surveys for non-business reasons

• Defamatory, inflammatory, or derogatory statements about individuals, companies, products, or services

• Any use that constitutes a waste of Utah Pride Center’s resources including network resources

• Sending or forwarding chain letters

• Any use of Utah Pride Center’s network, computers, systems, or internet access for recreational games or other recreational purposes

• Any use that involves corruption or destruction of data, including knowingly launching a virus, work, or other malicious software


The failure to use good judgment or to abide by Utah Pride Center’s Electronic Media Policy may result in suspension of privileges or other disciplinary action, up to and including termination of involvement in Utah Pride Center’s volunteer program. If any volunteer discovers that they have unintentionally violated this policy, the volunteer should notify the Executive Director immediately.


-- Non-Disclosure Agreement --

This Nondisclosure Agreement (the “Agreement”) is entered into by and between The Utah Pride Center with its principal offices at 1380 South Main Street, Salt Lake City, UT 84115, (“Disclosing Party”) and the volunteer completing this application as identified at the beginning of this application ("Receiving Party") for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“Confidential Information”).


1. Definition of Confidential Information. For purposes of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial values or other utility in the business in which Disclosing Party is engaged. If Confidential Information is in written form, the Disclosing Party shall label or stamp the materials with the word “Confidential” or some similar warning. If Confidential Information is transmitted orally, the Disclosing Party shall promptly provide a writing indicating that such oral communication constituted Confidential Information.


2. Exclusions from Confidential Information. Receiving Party’s obligations under this Agreement do not extend to information that is: (a) publicly known at the time of disclosure or sequentially becomes publicly known through no fault of the Receiving Party; (b) discovered or created by the Receiving Party before disclosure by Disclosing Party; (c) learned by the Receiving Party through legitimate

means other than from the Disclosing Party or Disclosing Party’s representatives; or (d) is disclosed by Receiving Party with Disclosing Party’s prior written approval.


3. Obligations of Receiving Party. Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at lease as

protective as those in this Agreement. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party’s own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information. Receiving Party shall return to Disclosing Party any and all records, notes,

and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Disclosing Party requests it in writing.


4. Time Periods. The nondisclosure provisions in this Agreement shall survive the termination of this Agreement and Receiving Party’s duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from the Agreement, whichever

occurs first.


5. Relationships. Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venture, or employee of the other party for any purpose.


6. Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to affect the intent of the parties.


7. Integration. This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings. This Agreement may not be amended except in a writing signed by both parties.


8. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.


9. Governing Law. This agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Utah.


10. Notices. Any notice provided for or concerning this agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each part as set forth at the beginning of this agreement.


11. Attorney’s fees. In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party is the action shall pay to the successful party, in addition to all the sums that either party may be called to pay, a reasonable sum for the successful party’s attorney’s fees.
