Waiver and Conflict of Interest Agreements

Waiver, Release, and Indemnification Agreement


This agreement is entered into with the Baypath Humane Society of Hopkinton, Inc. ("Baypath") jointly by the undersigned ("Volunteer") in order to permit the Volunteer to participate in the Shelter's Volunteer Program. This agreement is for the benefit of Baypath and each of its staff members, employees, officers, directors, agents, and representatives (known individually as an "Indemnitee" and collectively as "Indemnitees").


The Volunteer is aware that Baypath does not euthanize animals for time or space. Baypath is fortunate to have the community’s support and the resources to treat many injuries and illnesses and modify or manage a variety of behavior challenges. However there are times when euthanasia is the humane, responsible, and necessary option due to quality of life concerns or when animals pose a significant risk of injury to other animals or people. 


The Volunteer has been advised that the activity of working with the shelter animals is hazardous and involves contact with animals that are unpredictable. As such, Baypath cannot be held liable for injuries or accidents that may occur as a result of working with the animals. The Volunteer understands that the following are some, but not all, of the risks associated with working with shelter animals:


* Bites or scratches from dogs and/or cats.

* Being knocked down or pulled excessively by a dog.

* Injuries relating to wrist/hand/fingers from a dog leash.

* Slips/trips/falls resulting from wet floors, kennels, or equipment.

* Hitting heads on objects such as cage doors/kennels walls, etc..

* Water or cleaners sprayed in eyes.

* Injuries resulting from cage doors, equipment, etc..

* Flea/tick bites or ring worm infection.

* Internal or external parasites.

* Zoonotic illnesses (human illness contracted from animals).

* Animal illness exposure to animals at home.

* Injuries related to lifting animals, food, litter, or equipment.

* Injuries caused from grooming equipment-such as clipper blades, shears, and dryers.

* Exposure to cleaners, latex gloves, bleach, parasite control products.

* Exposure to or incidents relating to the public and/or Volunteers (outbursts, inappropriate contact)

* Loss of personal property.

* Any type of damage to car while parked at Baypath grounds, and;

* Damage to clothing from animals, cages, chemicals, etc..


The Volunteer is aware that injuries, loss of or damage to personal property, and death may occur as a result of Volunteer's participation at the shelter. The Volunteer agrees that Baypath and Indemnitees shall not be held responsible or liable for any personal injury or other injury, including death, damage, loss, or expense to Volunteer or his/her property, whether or not such injury, death, damage, loss, or expense is caused by negligence of Baypath, any indemnitee, or a third party.


The Volunteer and his/her heirs, executors, and administrators agree to hold harmless each Indemnitee against any and all manner of legal actions, such as suits, debts, claims, or liability of any kind incurred while the Volunteer participates at the shelter.


The Volunteer fully, completely, and unconditionally waives and releases each Indemnitee from all rights, liabilities, duties, claims, charges, demands, actions, damages, costs, attorney fees, or expenses of any kind that Volunteers may have now or in the future against Baypath or any Indemnitee relating to participation at the shelter.


The Volunteer represents and warrants that he/she is physically and mentally fit to safely work with animals and public at the shelter. Should an accident or other medical emergency occur while participating at the shelter or while Volunteer is en route to or from Baypath-sponsored events and Baypath staff members are unable to timely reach Emergency Contacts for medical authorizations, then Volunteer hereby gives consent for Baypath staff members to authorize medical treatment.


The Volunteer represents and warrants that Volunteer has current medical insurance coverage and agrees to be responsible for any and all billings and debts incurred with respect to such medical treatment or services.


The Volunteer represents and warrants that each of them has the authority to enter in this Agreement. If any provision of this Agreement is found to be unenforceable in any way, it shall be enforced to the maximum extent possible and all other provisions of this Agreement shall remain in full force and effect.


Confidentiality Agreement


Access to and/or knowledge of confidential information about Baypath Humane Society of Hopkinton, (“Baypath”), its operations, its donors, its volunteers, its vendors and its staff members may occur during the course of involvement with Baypath. Confidential information must not be shared with others inside or outside the realm of Baypath without a legitimate need- to- know and appropriate approval and authorization.


Confidential information includes, but is not limited to, business processes and systems; donor lists; information related to donor development; capital campaign and outreach strategies; private information regarding employees, donors, volunteers, applicants, financial data and sensitive information as it relates to clients and the animals.


Confidential information does not include publicly available information, an employee’s own wage information, or the substance of the organization’s personnel policies. Additionally, nothing in this policy shall be interpreted to interfere with employees’ rights under the National Labor Relations Act.


Any knowledge of a violation of this policy must be reported to the shelter manager, director, or board member as soon as practicable. Decisions related to any questions that arise in following this agreement will be decided on by the Executive Committee.


I acknowledge that in the course of employment, volunteer work or any other involvement with Baypath Humane Society of Hopkinton, I will keep private and protect any confidential information that I hear, see or come in contact with. I will consult with the shelter manager, director or a member of the board if I need clarification as to what is considered confidential.
